Export Restrictions

EXPORT COMPLIANCE AND SANCTIONS DISCLAIMER (U.S. & CANADA)

Buyer acknowledges that each product and any related software, technology, and technical information supplied by the Seller or contained in related documentation (collectively, “Items”), are subject to the export control and economic sanctions laws and regulations of both the United States and Canada.

These export controls include, but are not limited to:

  1. United States: The Export Administration Regulations (“EAR”) administered by the U.S. Department of Commerce; and
  2. Canada: The Export and Import Permits Act (“EIPA”) administered by Global Affairs Canada, the Defence Production Act (“DPA”), and the Special Economic Measures Act (“SEMA”).

These laws and regulations restrict, and may require prior government licenses, permits, or authorizations for, the export of Items from the United States and Canada, as well as their re-export or transfer to other countries.

The Buyer represents, warrants, and covenants that they shall comply fully with all such applicable laws and regulations. Without limiting the generality of the foregoing, the Buyer shall not, without first obtaining the required written license, permit, or authorization from the appropriate U.S. or Canadian government agency:

  • (i) Export, re-export, transfer, or divert any Item to any destination, country, or territory;
  • (ii) Supply, distribute, or export any Item to any country or region subject to comprehensive trade embargoes or sanctions by the U.S. or Canadian governments (including, but not limited to, countries on Canada’s Area Control List or targeted by SEMA regulations); or
  • (iii) Provide, transfer, or sell any Item to any individual, entity, or party designated on restricted, denied, or prohibited party lists maintained by the U.S. or Canadian governments (including, but not limited to, the U.S. Specially Designated Nationals List and Canadian Consolidated Sanctions List).

The Buyer shall cooperate fully with the Seller in any official or unofficial audit, inquiry, or inspection related to applicable export or import control laws or regulations. The Buyer shall indemnify, defend, and hold the Seller harmless from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with any violation of this section by the Buyer, its employees, consultants, agents, or customers.

Key Canadian Additions to Keep in Mind:

  1. Permits vs. Licenses: In Canada, the authorization is typically referred to as an “Export Permit” rather than an “Export License”.
  2. Economic Sanctions (SEMA): SEMA allows the Canadian government to prohibit transactions and freeze assets of specific foreign entities or individuals. Mentioning this protects you if the buyer attempts to redirect items to a sanctioned destination or person.
  3. Dual-Use / Controlled Goods: If you ship items that have dual military/civilian applications, the Canadian Controlled Goods Program (under the DPA) restricts who can physically access or examine those items inside Canada.
